These terms govern your use of hiretheon.com (the "site"), which Theon Services, Inc., a Delaware corporation ("Theon", "we", "us"), operates. By using the site, you agree to these terms. If you do not agree, please do not use the site.
1. Who the site is for
The site is for people at US companies who are considering our services for their company. You must be at least 18 to use it. If you enter information about your company, you confirm that you are allowed to share it with us.
2. Our privacy policy
Our privacy policy, at https://hiretheon.com/privacy/, explains what information we collect through the site and how we use it.
3. No tax, legal or accounting advice
Information on the site is general information about our services. It is not tax, legal or accounting advice, and it is not advice about your company's sales and use tax obligations. Using the site or booking a call does not make you or your company our client. Speak with your own advisers before acting on anything you read here.
4. Fees
Any fee or fee range shown on the site is general information. It is not an offer. Your company's fee is the one stated in a proposal we send and in a client agreement both companies sign.
5. Services are governed by a signed agreement
We provide services only under a written client agreement signed by your company and by Theon. That agreement, including any guarantee it contains, sets out the services, the fee and both companies' obligations. If anything on the site differs from a signed client agreement, the signed agreement controls.
6. Information you give us
Please give accurate information in the booking form and your messages. Do not send us tax returns, bank details, government identification numbers or other sensitive records through the site forms. If we need records like those, we will arrange a secure way to receive them.
7. Acceptable use
When you use the site, you agree not to:
- break any law or anyone else's rights;
- enter false information or information about another person without permission;
- try to get into parts of the site, its systems or its data that are not offered to you;
- interfere with the site, overload it, or introduce harmful code;
- use automated tools to copy, scrape or submit forms on the site without our written permission;
- copy or reuse the site's content except as section 8 allows.
8. Our content and trademarks
The site's text, design, graphics, logo and software are owned by or licensed to Theon. You may view the site and print or save pages for your own company's evaluation of our services. Any other copying, distribution or reuse needs our written permission.
"Theon", the Theon logo and our tagline are our trademarks. You may not use them in a way that suggests we endorse or partner with you without our written permission.
9. Other websites and tools
The site links to tools run by other companies, such as the Cal.com scheduling page. Those companies' own terms and privacy policies apply when you use their tools. We are not responsible for their content or practices.
10. Disclaimer
We work to keep the site accurate and available, but we provide it "as is" and "as available". To the extent the law allows, we disclaim all warranties about the site, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not promise that the site will be uninterrupted or free of errors.
This section and section 11 apply to the site only. They do not change any term of a signed client agreement.
11. Limitation of liability
To the extent the law allows, Theon is not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of the site or your reliance on anything on it, even if we were told such damages were possible.
To the extent the law allows, Theon's total liability for all claims arising from your use of the site is limited to US$100.
12. Your responsibility for misuse
If you or your company use the site in breach of section 7, you will cover Theon's reasonable costs, including reasonable legal fees, arising from any third-party claim caused by that misuse.
13. Governing law and courts
These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Any dispute arising from these terms or your use of the site will be heard only in the state or federal courts located in the State of Delaware, and you and Theon consent to those courts' jurisdiction.
14. Changes to these terms
We may update these terms by posting a new version on this page with a new "Last updated" date. The version in effect when you use the site applies to that use.
15. General
If a court finds any part of these terms unenforceable, the rest stays in effect. If we do not enforce a part of these terms, we have not waived it. We may transfer these terms to a company that takes over the site. These terms are the whole agreement between you and Theon about the site. They do not replace a signed client agreement, a proposal, or any other written agreement with us.
